- Systems integration between business platforms (CRM, ERP, payment, analytics).
- Cloud infrastructure setup, CI/CD pipelines, and performance optimisation.
- Consulting and architectural advisory for digital projects.
All services are delivered remotely by qualified engineering staff and contractors under our supervision.
3. Account & Eligibility
To purchase services you must be at least 18 years old and have the legal authority to enter into a contract. Where you purchase on behalf of a company, you confirm that you are authorised to bind that company to these Terms. You agree to provide accurate, current, and complete billing information.
4. Orders, Pricing & Payment
- All prices are displayed in United States Dollars (USD) and exclude any VAT or local taxes, which may be added at checkout where applicable.
- Payment is collected upfront through our authorised payment processor (e.g. Stripe). UAE OFFERS LTD does not directly receive or store full card details.
- Monthly subscriptions are billed automatically on the same calendar date each month until cancelled.
- We reserve the right to refuse or cancel any order in cases of suspected fraud, insufficient information, or non-compliance with these Terms.
5. Delivery of Services
Estimated delivery timelines for one-time projects are provided in writing at the start of each engagement. We commit to use commercially reasonable efforts to meet those timelines, but they are estimates rather than guarantees, and may be affected by client responsiveness, scope changes, or third-party dependencies.
6. Client Responsibilities
To ensure successful delivery, the client agrees to:
- Provide accurate project requirements and timely feedback.
- Supply any necessary credentials, content, and access to systems we are asked to work on.
- Designate a single point of contact authorised to make decisions on behalf of the client.
- Comply with all applicable laws when using the deliverables we provide.
7. Intellectual Property
Unless agreed otherwise in writing:
- Upon full payment, the client owns the custom source code we deliver specifically for their project.
- We retain ownership of any pre-existing tools, libraries, and frameworks we developed prior to or independently of the engagement, and grant the client a perpetual, royalty-free licence to use them within the delivered work.
- Third-party libraries remain subject to their respective open-source or commercial licences.
- UAE OFFERS LTD may, with client permission, reference the engagement (company name and a high-level description) in its portfolio.
8. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement. This obligation survives the termination of the contract for a period of three (3) years.
9. Refunds & Cancellation
All refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
10. Acceptable Use
You agree not to use our services or website to:
- Violate any applicable law or third-party right.
- Send unsolicited communications or commit fraud.
- Distribute malware or attempt to disrupt our systems.
- Reverse-engineer, copy, or resell our proprietary tooling without written authorisation.
We reserve the right to suspend or terminate services in cases of material breach of this section.
11. Warranties & Disclaimers
We warrant that our services will be performed with reasonable care and skill in accordance with industry standards. Except as expressly stated, our services and deliverables are provided "as is" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law:
- Our total aggregate liability under any engagement is limited to the total fees paid by the client to UAE OFFERS LTD in the twelve (12) months immediately preceding the event giving rise to the claim.
- Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
13. Indemnification
You agree to indemnify and hold UAE OFFERS LTD harmless from any claims arising out of your misuse of our services, violation of these Terms, or infringement of any third-party rights.
14. Termination
Either party may terminate an ongoing engagement with thirty (30) days' written notice. We may terminate immediately in cases of non-payment, material breach, or suspected fraudulent activity. Termination does not relieve you of obligations to pay for services already rendered.
15. Force Majeure
Neither party will be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, war, civil unrest, network outages, and acts of government.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.
17. Changes to These Terms
We may revise these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
